Terms of Service

Effective Date: March 24, 2026

These Terms govern your use of services provided by WebFront AI LLC. By engaging with our services, you agree to be bound by these Terms.

What We Offer

WebFront AI specializes in providing website development and AI Receptionist services to small businesses seeking to scale their operations through digital infrastructure and artificial intelligence technology.

Important

We're a technology infrastructure provider only. You're solely responsible for marketing, driving traffic, closing leads, and managing customer relationships.
Sections 3–4

Payment & Intellectual Property

Payment Structure

  • 50% Setup Fee (Non-Refundable): Required deposit to begin work. Covers infrastructure setup, design, and configuration.
  • 50% Final Payment: Due upon project completion, prior to Go-Live date.
  • 30d Recurring Monthly Fees: Hosting, maintenance, and AI services begin 30 days after initial setup.

Non-Refundable

Once work has commenced, all setup fees are non-refundable regardless of completion status or satisfaction.

IP & Licensing

  • Website: You receive a non-exclusive license. Upon termination, get .ZIP of front-end code.
  • AI Brain: Remains our exclusive property. Access ends with subscription termination.
  • Your Data: You retain full ownership of all documentation and business information provided.

Results & AI Performance

No Guarantee of Results

Provider makes NO guarantee regarding:

  • SEO rankings or visibility
  • Volume or quality of leads
  • Revenue or ROI
  • Website traffic or conversions

AI Hallucinations Warning

AI technology is probabilistic and may occasionally produce incorrect, incomplete, or “hallucinated” information that sounds plausible but is factually wrong.

Examples

  • Incorrect pricing or service descriptions
  • Fabricated business policies or hours
  • Made-up answers to customer questions

Your Responsibility

You are responsible for honoring ANY commitments, prices, or promises made by the AI to your customers.

Your Responsibilities

  • Ensure all provided data is accurate and current
  • Monitor AI performance actively
  • Report consistent errors promptly
  • Verify pricing, hours, and policies before go-live

Call Recording Notice

Your AI Receptionist records all inbound calls for quality assurance, training, and legal compliance.

Example Compliant Greeting

“Thank you for calling [Business Name]. You are speaking with our AI Assistant. This call is recorded for quality purposes. How can I help you today?”

2026 AI Transparency Laws

Your AI greeting MUST clearly disclose that it is an AI. Required language includes:

"AI Assistant"
"Virtual Agent"
"Automated Representative"
"AI-Powered System"

No Deception Policy

Do not configure AI to deceive callers into believing they're speaking with a human.

TCPA Compliance

Inbound Calls Only

AI Receptionist is for INBOUND CALLS ONLY. You assume full liability for any TCPA violations, FCC fines, or customer complaints related to outbound calling or marketing purposes.

Data Retention

Call recordings and transcripts retained for up to 90 days for quality assurance. You may request earlier deletion.

Third-Party Dependencies & Liability

Our services rely on:

Hosting & Analytics

Google, AWS

Payment Processing

Stripe, etc.

Provider Not Responsible

Provider is NOT responsible for service interruptions, data breaches, or degraded performance caused by third-party providers.

Liability Cap

Maximum Exposure

Total liability shall not exceed the amount paid in the preceding 6 months.

Example: If you paid $500/month for 6 months ($3,000 total), maximum liability is capped at $3,000.

Excluded Damages

  • Lost business opportunities or market position
  • Additional costs or expenses
  • Loss of profits, revenue, or business interruption
  • Penalties or exemplary awards
  • Damage to brand or public image

Your Waiver

By using our services, you waive any right to pursue damages for:

  • AI hallucinations or incorrect information
  • Website downtime or technical failures
  • Unauthorized third-party access to your data
  • Incorrect billing or service delivery issues
Sections 11–13

Indemnification & Termination

Your Indemnification Obligation

You shall defend, indemnify, and hold harmless WebFront AI LLC against any third-party claims, fines, legal actions, or expenses arising from:

  • Your specific instructions or customizations to the AI
  • The training data and information you provided
  • Your use of the AI Receptionist in your business
  • Your violation of laws or regulations
  • TCPA violations or improper data handling

Termination by Client

Cancel anytime with 30 days written notice. Upon termination:

  • Services active through 30-day period
  • Final month's fees remain due
  • Website code provided in .ZIP format
  • AI training data reverts to Provider

Termination by Provider

We may terminate with 14 days notice if:

  • Professional relationship becomes untenable
  • Abusive or threatening behavior
  • Violation of legal requirements
  • Use for illegal purposes or TCPA violations
  • Account remains delinquent

Prohibited Uses

  • Outbound calling, spam, or harassment
  • Reverse-engineering or bypassing AI
  • Accessing other client's data
  • Configuring AI to deceive or mislead
Sections 14–18

Legal Provisions

Governing Law

State of New Jersey, without regard to conflict of law principles

Jurisdiction

Exclusive jurisdiction of state and federal courts located in New Jersey

Modifications

We may modify these Terms at any time. Material changes communicated 30 days in advance

Severability

If any provision is invalid, it shall be severed. Remaining provisions stay in full force

Document Precedence

In the event of conflicting terms, documents are interpreted in this order:

  2. 2Specific Addendums (AI Receptionist Agreement)
  3. 3Statement of Work
  4. 4These Terms of Service

Acknowledgment and Acceptance

By using WebFront AI services, you acknowledge that:

  • You have read and understand these Terms of Service
  • You agree to be bound by all provisions herein
  • You are authorized to enter into this agreement on behalf of your business
  • You accept the limitations of liability and disclaimers outlined above
